Exhibit B — SMS and MMS Costs

This Exhibit B is incorporated into and forms part of the Software as a Service Agreement (the "SSA") entered into by and between Maestra B.V. ("Provider") and Customer. Capitalized terms used in this Exhibit and not otherwise defined herein have the meanings set forth in the SSA.
1. SMS Services Deposit
A refundable deposit may be required to enable messaging services (the "SMS Services Deposit", as defined in Section 2.10 of the SSA). The SMS Services Deposit:
may be applied by Provider toward any unpaid messaging charges;
shall be promptly replenished by Customer upon notice from Provider;
may be adjusted by Provider, on not less than thirty (30) calendar days’ prior written notice to Customer, if the cost of consumed messaging services differs significantly from the existing SMS Services Deposit amount; and
any unused balance shall be refunded to Customer or applied to the final invoice upon termination or expiration of the SSA.
2. SMS and MMS Rates
The following per-message and per-occurrence rates apply to SMS and MMS messages sent through the Services:

3. Carrier Pass-Through Fees and Rate Changes
3.1. Carrier Pass-Through Fees are not included in the rates set forth in Section 2 above. Carrier Pass-Through Fees and other charges related to services not included in this Exhibit B shall be rebilled to Customer with an additional five percent (5%) surcharge to cover payment-gateway charges and other related Provider costs.
3.2. Provider is entitled, in all instances, to pass on any applicable price increase to Customer by email notification, whether such increase arises from an obligation under legislation or regulations, from an increase in the purchase price of messages, or from rate changes effected by Cellular Network Operators. Changes shall apply immediately unless a different effective date is specified in the rate notification. Provider shall make reasonable efforts to notify Customer in advance of any such price change.
3.3. If Customer does not agree with the proposed changes, this Exhibit B can be terminated in accordance with the SSA. For the avoidance of doubt, the annual cap and deemed-acceptance / negotiation procedure set forth in Section 8.6 of the SSA for Maestra Platform Fees does not apply to the per-message rates set forth in this Exhibit B, which are subject to the separate update mechanism described in this Section 3.
4. RCS Messaging (European Union)
The following rates apply to RCS (Rich Communication Services) messaging sent through the Services in the European Union:

5. RCS Carrier Pass-Through and Third-Party Charges
5.1. RCS Carrier Pass-Through Fees are not included in the rates set forth in Section 4 above. RCS Carrier Pass-Through Fees and other charges related to services not included in this Exhibit B shall be rebilled to Customer with an additional five percent (5%) surcharge to cover payment-gateway charges and other related Provider costs.
5.2. Provider is entitled, in all instances, to pass on any applicable price increase to Customer by email notification, whether such increase arises from changes in legislation or regulations, from carrier-imposed adjustments to message-delivery pricing, or from ecosystem requirements introduced by Google, mobile network operators, or other third-party providers.
5.3. In addition to carrier fees, certain third-party charges may apply in connection with RCS messaging, including without limitation:
Aegis Vetting & Certification Fees (e.g., brand verification, visual-asset approval, appeals); and
Content Violation Penalties (e.g., fines imposed by carriers for sending messages that violate content policies or applicable law).
Provider shall make reasonable efforts to notify Customer in advance of such changes. These fees are standard in the industry and subject to modification by third parties without prior notice. If Customer does not agree with a proposed change, this Exhibit B can be terminated in accordance with the SSA.
6. Other International Destinations
For SMS and MMS messages delivered to destinations other than the European Union, the European Economic Area, and the United Kingdom, per-message rates vary substantially by destination and are typically several multiples of EU domestic rates. Pricing for other international destinations is available from Provider upon request and may be subject to additional restrictions and compliance requirements specific to the destination.
7. Currency, Taxes, and Billing
7.1. All rates set forth in this Exhibit B are stated in Euros (EUR).
7.2. Where any third-party carrier or aggregator invoices Provider in a currency other than Euros, Provider may convert such charges to EUR at the prevailing reference rate published by the European Central Bank for the relevant billing period.
7.3. All rates set forth in this Exhibit B are exclusive of value added tax and any other applicable taxes, in accordance with Section 8.2 of the SSA.
7.4. Messaging charges accrued during a calendar month are invoiced in arrears together with the Fees set forth in Exhibit A, in accordance with Section 8.3 of the SSA. The SMS Services Deposit operates as a prepaid metered-billing balance and is governed by Section 2.10 of the SSA and Section 1 of this Exhibit B.
