Exhibit A — Services and Fees

This Exhibit A is incorporated into and forms part of the Software as a Service Agreement (the "SSA") entered into by and between Maestra B.V. ("Provider") and Customer. Capitalized terms used in this Exhibit and not otherwise defined herein have the meanings set forth in the SSA.
1. Description of the Services
The Services consist of access to the Maestra software-as-a-service platform, an end-to-end customer-engagement and personalization platform. The platform includes, without limitation, a real-time Customer Data Platform (CDP), email and SMS messaging, push notifications, on-site and in-app personalization, product and price personalization, recommendation widgets, and reporting and analytics. The specific modules and features available to Customer depend on Customer’s subscription as set forth in the Engagement Letter.
2. Fees
The total monthly Fees for the Services are determined by the actual usage of the following components, each as set forth below: the Maestra Platform, Active End Customer Profiles, Extensions, Additional Modules, and Additional Services.
2.1 Maestra Platform
The Maestra Platform includes:
unlimited accounts to access the Services with support chat access ("Accounts");
150,000 Active End Customer Profiles;
3 million Inactive End Customer Profiles;
500 million End Customer Profile actions;
1 billion End Customer Profile segment change facts;
25 million orders; and
up to three (3) Brands.
Additional Fees apply for any usage exceeding the included limits, as set forth in Sections 2.2 and 2.3 below.
The monthly fee for the Maestra Platform is €2,990
2.2 Active End Customer Profiles
The Fee for Active End Customer Profiles is calculated based on the number of unique Active End Customer Profiles in Customer’s database for each month during the Term.

2.3 Extensions
The following per-item monthly Fees apply when Customer’s usage exceeds the inclusions set forth in Section 2.1:

2.4 Additional Modules
Realtime POS Processing
The Fee for Realtime POS Processing is 1,300 per month plus a sum based on the number of unique Active End Customer Profiles in Customer’s database for each month during the Term, calculated as follows:

2.5 Additional Services
Deliverability White Glove Service
The Fee for the Deliverability White Glove Service is €1,950 per month plus €0.047 per each Email, with the aggregate amount capped at €3,900 for each month during the Term.
Staging Project
The Fee for a Staging Project is €650 per month plus a sum based on the number of End Customer Profiles and End Customer actions in Customer’s database for each month during the Term, calculated as follows:

2.6 Customer Success Manager
Provider will provide a Customer Success Manager as part of the subscription to the Services.
3. Currency, Taxes, and Payment
3.1. All Fees set forth in this Exhibit A are stated in Euros (EUR).
3.2. Payment terms, including invoicing cadence, due dates, and acceptable payment methods, are set forth in Section 8 of the SSA.
3.3. All Fees are exclusive of value added tax and any other applicable taxes, in accordance with Section 8.2 of the SSA.
4. SMS, MMS, RCS, and Other Messaging Fees
Per-message rates and related charges for SMS, MMS, RCS, and other messaging services are set forth in Exhibit B and are billed in addition to the Fees set forth in this Exhibit A.
5. Engagement Letter Specifics
The Engagement Letter executed between the parties identifies the specific Services, modules, and pricing applicable to Customer’s subscription. The Engagement Letter may include:
the registration details of Maestra B.V. (KvK number, VAT number, registered address);
the Customer’s identification and authorized signatory details;
the Effective Date of the SSA;
the specific Services, modules, and Additional Services included in Customer’s subscription;
any Customer-specific pricing arrangements, discounts, or commercial concessions agreed by Provider in writing;
the amount of the Deposit (as defined in Section 2.9 of the SSA);
the amount of the SMS Services Deposit (as defined in Section 2.10 of the SSA), if applicable; and
such other commercial terms as the parties may agree.
In the event of any inconsistency between this Exhibit A and the Engagement Letter, the order of precedence set forth in Section 16.7 of the SSA governs.
6. Fee Changes
Fees set forth in this Exhibit A and the Engagement Letter may be updated in accordance with Section 8.6 of the SSA. Per-message rates set forth in Exhibit B are subject to the separate update mechanism described in Section 8.6 of the SSA.
