Exhibit B – Messaging Credit Consumption Rates

This Exhibit B is incorporated into and forms part of the Software as a Service Agreement (the "SSA") entered into by and between Maestra.io LLC ("Provider") and Customer. Capitalized terms used in this Exhibit and not otherwise defined herein have the meanings set forth in the SSA.

1. Messaging Credits Prepayment

A Messaging Credits Prepayment may be required as a condition of activation or continued use of the messaging features of the Services, as set forth in Section 2.10 of the SSA.

2. Messaging Credit Consumption Rates

Messaging Credits are the unit of account for the messaging features of the Services. One (1) Messaging Credit is priced at $0.01. The following all-inclusive Messaging Credit consumption rates and program fees apply to the SMS and MMS messaging features of the Services. Setup, amendment, and monthly program fees are charged in U.S. dollars and are not denominated in Messaging Credits.

Messages exceeding the applicable character limit are divided into segments, and each segment consumes Messaging Credits at the rate set forth above.

3. All-Inclusive Rates; Rate Updates

3.1. All rates set forth in this Exhibit B are all-inclusive and reflect Provider’s cost of providing the corresponding features of the Services, including amounts payable by Provider to third-party providers (such as network delivery costs and carrier surcharges). Provider does not itemize or separately pass through third-party carrier, operator, or regulatory fees.

3.2. Messaging Credit consumption rates may be updated in accordance with Section 8.6 of the SSA.

3.3. Consumption detail for each billing period, including message counts and Messaging Credits consumed by channel, destination, and Brand, is available to Customer in the Services and on request.

4. RCS Messaging (USA)

The following all-inclusive Messaging Credit consumption rates and program fees apply to RCS (Rich Communication Services) messaging sent through the Services in the United States:

5. Third-Party Program Fees and Penalties

5.1. Where Customer elects messaging programs that require third-party vetting, verification, or certification (for example, brand verification, visual-asset approval, or appeals), the applicable third-party fees will be quoted to Customer in advance and invoiced as quoted.

5.2. Fines or penalties imposed by mobile network operators, aggregators, or other third parties arising from Customer’s content or use of the messaging features in violation of this Agreement (including Exhibit D or Exhibit E) will be invoiced to Customer at cost, together with an administrative processing fee of $2,000 per penalty event to cover Provider’s handling and remediation costs.

6. Other International Destinations

For SMS and MMS messages delivered to destinations other than the United States, Puerto Rico, and Canada, Messaging Credit consumption rates vary substantially by destination and are typically several multiples of U.S. domestic rates. Rates for other international destinations are available from Provider upon request, are quoted on the same all-inclusive basis set forth in Section 3.1, and may be subject to additional restrictions and compliance requirements specific to the destination.

7. Currency, Taxes, and Billing

7.1. All rates set forth in this Exhibit B are stated in U.S. dollars (USD).

7.2. Where any third-party charge contemplated by Section 5 is invoiced to Provider in a currency other than U.S. dollars, Provider may convert such charge to USD at the prevailing exchange rate published by the Federal Reserve Bank of New York for the relevant billing period.

7.3. All rates set forth in this Exhibit B are exclusive of U.S. federal, state, and local sales, use, excise, and similar taxes, in accordance with Section 8.2 of the SSA.

7.4. Messaging charges accrued during a calendar month are invoiced in arrears in accordance with Section 8.3 of the SSA. Because consumption data is finalized after the close of the calendar month in which it accrues, Provider may invoice messaging charges separately from, and later than, the Fees set forth in Exhibit A. The Messaging Credits Prepayment operates as a prepaid balance of platform usage and is governed by Section 2.10 of the SSA.
