Exhibit A – Services and Fees

Effective as of July 1, 2026

This Exhibit A is incorporated into and forms part of the Software as a Service Agreement (the “SSA”) entered into by and between Maestra.io LLC (“Provider”) and Customer. Capitalized terms used in this Exhibit and not otherwise defined herein have the meanings set forth in the SSA.

1. Description of the Services

The Services consist of access to the Maestra software-as-a-service platform, an end-to-end customer-engagement and personalization platform. The platform includes, without limitation, a real-time Customer Data Platform (CDP), email and SMS messaging, push notifications, on-site and in-app personalization, product and price personalization, recommendation widgets, and reporting and analytics. The specific modules and features available to Customer depend on Customer’s subscription as set forth in the Order Form.

2. Fees

The total monthly Fees for the Services are the sum of: (a) the CDP Fee (Section 2.3); (b) the monthly fee for each Module included in Customer’s subscription (Section 2.4); and (c) any additional Brand, staging, or other fees set forth in Section 2.5. The specific Modules included in Customer’s starting subscription are set forth in the Order Form.

2.1 Definitions

For the purposes of this Exhibit A, the following terms have the meanings set forth below. Capitalized terms not defined here have the meanings given in the SSA.

“End Customer Profile” means a single deduplicated master record within the Customer Data Platform (CDP) that consolidates and anchors the data associated with an individual End Customer. Where multiple records or identifiers are resolved to the same End Customer, they constitute one End Customer Profile.

“End Customer action” means a recorded event associated with, and attributed to, an End Customer Profile. End Customer actions include a wide range of event types depending on Customer’s configuration of the Services, such as a message send, a website or application visit, an authentication, a purchase, an email open, or an email click.

“MAU” (Monthly Active User) means any End Customer Profile for which, in a given calendar month, at least one of the following occurred: (a) an attempt to send a message to the End Customer through the Services (whether or not the message was successfully delivered); or (b) any inbound activity by the identified End Customer, such as a website or application visit, an authentication, email open or click, a purchase or an order status change. Activity by an unidentified or anonymous visitor that has not been resolved to an End Customer Profile does not constitute MAU.

“Billing MAU” means the rolling twelve (12)-month average of monthly MAU, calculated over completed full calendar months of billing and recalculated each billing period. The initial partial month of billing (if any) is excluded from the average. For accounts with fewer than twelve (12) full billing months of history, Billing MAU is the average over the full billing months for which data is available.

“Brand” means a distinct store, property, or service operated by Customer that targets a specific audience and is characterized by one or more of the following: its own website or application; its own product or service catalog; its own design and branding; its own set of integrations; or its own marketing mechanics (such as automation flows). Where Customer operates internationally through separate technical entities or instances for different markets, each such market may be treated as a separate Brand. For the avoidance of doubt, this provision is for billing purposes only and does not allow payment by any legal entity other than the Customer that signed the SSA.

2.2 Maestra Platform

The Maestra Platform provides Customer with access to the Maestra software-as-a-service platform and includes:

  • access to the Services for Customer’s personnel, with no limit on the number of users who may interact with, or the number of requests that may be submitted to, the Maestra support chat;
  • the real-time Customer Data Platform (CDP) and the platform features generally made available by Provider; and
  • one (1) Brand. Each additional Brand is subject to the Additional Brand fee set forth in Section 2.5.

The functional Modules available to Customer depend on Customer’s subscription as set forth in the Order Form and are charged in addition to the CDP Fee as set forth below.

2.3 CDP Fee

The CDP Fee is the recurring monthly platform fee, calculated on the basis of Billing MAU. The CDP fee covers access to the Customer Data Platform, including unlimited data storage, reporting, Maestra AI Marketer, and Product Recommendations (available in any active channel, such as email or website). It also includes integrations with Shopify, paid media platforms, and other third-party systems, set up with the assistance of a Maestra Customer Success Manager.

The CDP Fee is $0.013 per Billing MAU per month, subject to a monthly minimum of $1,300, which includes 100,000 MAU.

Where the Effective Date falls partway through a calendar month, the CDP Fee for that initial partial month is pro-rated based on the number of days from the Effective Date through the end of that month, applied to the full monthly CDP Fee that would otherwise be due. That initial partial month is excluded from the calculation of Billing MAU.

The Customer Data Platform is a mandatory component of the Services and cannot be deactivated. The CDP Fee applies for the entire Term, and discontinuation of the Customer Data Platform constitutes termination of the Agreement.

2.4 Modules

Each Module is an optional functional add-on charged at the fixed monthly fee set forth below, in addition to the CDP Fee. The Modules set forth in the Order Form reflect Customer’s starting subscription; Customer may change the Modules at any time as set forth below.

Customer may activate or deactivate any Module at any time, with the corresponding change reflected in the following month’s subscription fee. The minimum billable period for any Module is one calendar month, and Modules are billed by calendar month: a Module activated or deactivated during a calendar month is charged at its full monthly fee for that month, and proration does not apply. The sole exception is the initial partial month described in Section 2.3, in which Module fees are pro-rated on the same day-based basis as the CDP Fee.

2.5 Additional Brands and Other Fees

The following fees apply in addition to the CDP Fee and Module fees:

The Staging environment includes capacity for up to one million (1,000,000) End Customer Profiles and up to five million (5,000,000) End Customer actions. These limits are hard caps, and Provider reserves the right to remove data exceeding these limits upon reasonable notice to Customer.

2.6 Customer Success Manager

Provider will provide a Customer Success Manager as part of the subscription to the Services.

3. Currency, Taxes, and Payment

3.1. All Fees set forth in this Exhibit A are stated in U.S. dollars (USD).

3.2. Payment terms, including invoicing cadence, due dates, and acceptable payment methods, are set forth in Section 8 of the SSA.

3.3. All Fees are exclusive of U.S. federal, state, and local sales, use, excise, and similar taxes, in accordance with Section 8.2 of the SSA.

4. SMS, MMS, RCS, and Other Messaging Fees

Per-message rates and related charges for SMS, MMS, RCS, and other messaging services are set forth in Exhibit B and are billed in addition to the Fees set forth in this Exhibit A.

5. Order Form Specifics

The Order Form executed between the parties identifies the specific Services, Modules, and pricing applicable to Customer’s subscription. The Order Form may include:

  • the registration details of Maestra.io LLC (Delaware entity identifier, U.S. taxpayer identification number, registered address);
  • the Customer’s identification and authorized signatory details;
  • the Effective Date of the SSA;
  • the specific Services, Modules, and any additional services included in Customer’s subscription;
  • any Customer-specific pricing arrangements, discounts, or commercial concessions agreed by Provider in writing;
  • the amount of the Deposit (as defined in Section 2.9 of the SSA);
  • the amount of the SMS Services Deposit (as defined in Section 2.10 of the SSA), if applicable; and
  • such other commercial terms as the parties may agree.

In the event of any inconsistency between this Exhibit A and the Order Form, the order of precedence set forth in Section 16.7 of the SSA governs.

6. Fee Changes

Fees set forth in this Exhibit A and the Order Form may be updated in accordance with Section 8.6 of the SSA. Per-message rates set forth in Exhibit B are subject to the separate update mechanism described in Section 8.6 of the SSA.
